General terms applicable to purchases from TWSM Europe BV

1. General and Acceptance

This website is operated by TWSM Europe BV. These Terms govern use of the BLSTRsander website and purchases made directly from TWSM Europe BV, unless a separate written agreement expressly provides otherwise. By placing an order, the customer accepts the Terms and policies made available in connection with that transaction, including the applicable Consumer Refund & Warranty Policy, Professional & Industrial Terms & Warranty and Privacy Policy. Mandatory statutory rights always prevail where they cannot lawfully be excluded or limited.

2. Eligibility and Lawful Use

Customers must be legally capable of entering into the relevant transaction and must not use the website, Service or products for unlawful or unauthorized purposes. Users may not transmit malicious code, interfere with security or operation, infringe intellectual-property rights or otherwise misuse the Service.

3. Customer, Billing and Account Information

Customers must provide current, complete and accurate billing, delivery and contact information. TWSM Europe BV may reasonably refuse or cancel orders where information is materially inaccurate or where fraud, abuse or unlawful activity is suspected. Professional customers are responsible for ensuring that persons ordering on their behalf are authorized.

4. Product and Website Information

TWSM Europe BV aims to describe products accurately. Photographs, videos, demonstrations, drawings, test results and application examples illustrate stated conditions but do not guarantee identical results in every application. Website information may contain errors or become outdated; TWSM Europe BV may correct errors and update information subject to applicable law.

5. Products, Availability and Changes

Products may be available only online or in limited quantities. TWSM Europe BV may change future prices, specifications, packaging, availability or the Service, and may suspend or discontinue future offerings, subject to accepted orders, binding written commitments and mandatory law.

6. Orders and Contract Formation

An order constitutes an offer to purchase. A contract is formed when TWSM Europe BV accepts the order, for example by order/shipment confirmation or dispatch. An unaccepted order may be refused or cancelled for legitimate reasons including pricing error, suspected fraud, export restriction, unavailability, quantity limitation or technical/safety concerns. Amounts already paid for a cancelled unaccepted order will be refunded.

7. Prices, VAT, Duties and Payment

Prices and VAT treatment are as stated at checkout, quotation or invoice and depend on customer status and destination. Payment must be made using an accepted payment method or separately agreed B2B payment terms.

8. Customs, Import Charges and Refused Delivery

For deliveries outside the applicable domestic/EU VAT arrangement, local taxes, import VAT, customs duties, brokerage charges and other destination charges are borne by the customer unless expressly stated otherwise. If a customer refuses delivery or fails to pay applicable import charges and the shipment is returned, outbound shipping, return shipping and carrier/authority charges may be deducted from any refund to the extent permitted by applicable law.

9. Delivery and Risk

Delivery dates and transit times are estimates unless expressly agreed as binding. TWSM Europe BV is not responsible for carrier delays outside its reasonable control, subject to mandatory consumer rights. Separately agreed B2B Incoterms or delivery terms prevail where applicable. Risk passes in accordance with applicable law and the agreed delivery terms.

10. Retention of Title

To the extent permitted by applicable law, delivered goods remain the property of TWSM Europe BV until full payment has been received. This does not alter mandatory rules governing risk or consumer rights.

11. Inspection on Delivery

Customers should promptly report visible transport damage, missing items or incorrect goods so the appropriate procedure can be started. This does not reduce mandatory consumer rights.

12. Product Safety and Instructions

Customers must use products in accordance with the user manual, safety information, technical specifications and applicable workplace rules. Appropriate PPE, dust control and workplace precautions must be selected for the abrasive, substrate, coating and environment.

13. Abrasive Media

Only technically suitable abrasive media may be used. Abrasive type, hardness, shape, contamination and grain size materially affect performance, wear and reliability. BLSTR-branded abrasive is not mandatory unless expressly stated for a particular application, but alternative media must meet technical requirements communicated by TWSM Europe BV.

14. Intellectual Property

BLSTRsander names, branding, product designs, website content, photographs, videos, text and other intellectual property remain the property of TWSM Europe BV or the respective rights holder. No right to reproduce, duplicate, sell, exploit or commercially reuse website content is granted without prior written permission.

15. User Feedback and Submissions

Where users voluntarily submit suggestions, feedback or other non-confidential material, TWSM Europe BV may use that material to the extent permitted by law, unless otherwise agreed. This clause does not override applicable privacy, confidentiality or intellectual-property rights.

16. Privacy and Data Protection

Processing of personal information through the website is governed by the BLSTRsander Privacy Policy and applicable data-protection law, including the GDPR where applicable. Professional resellers and commercial partners are independently responsible for compliance with applicable data-protection law when processing their own end-customer data.

17. Third-Party Tools and Links

The website may provide links to or access to third-party tools/services. TWSM Europe BV is not responsible for third-party content, availability, functionality, policies or services except where applicable law provides otherwise.

18. Separate Consumer and Professional Regimes

Consumer returns and statutory conformity rights are set out in Part II. Professional and industrial transactions, including the separate commercial warranty and B2B risk allocation, are governed by Part III. These regimes are intentionally separate.

19. Indemnification – Professional / B2B

To the extent permitted by law, a professional/business customer shall indemnify TWSM Europe BV against third-party claims, losses or reasonable costs arising directly from that customer's unlawful conduct, breach of these Terms, unauthorized representations concerning BLSTRsander products, or infringement of third-party rights. This provision does not apply to the extent a claim was caused by TWSM Europe BV or where such indemnification is prohibited by law.

20. Separate Agreements and Priority

A specifically negotiated provision in a separately signed dealer, distributor, supply or other agreement prevails for the subject matter it directly addresses. Otherwise these Terms and the relevant policy below supplement that agreement. Mandatory law always prevails.

21. Force Majeure

To the extent permitted by law, TWSM Europe BV is not liable for delay or failure caused by circumstances beyond its reasonable control, including material/component shortages, transport disruption, governmental measures, industrial action, energy disruption, fire, flood, war, terrorism, epidemic/pandemic or comparable events.

22. Termination or Restriction of Website Service

TWSM Europe BV may restrict or terminate access to the website or Service where a user materially breaches these Terms or uses the Service unlawfully, without prejudice to existing contractual obligations and mandatory rights.

23. Severability and No Waiver

If any provision is invalid or unenforceable, it is limited or disregarded only to the extent required by law and the remainder remains effective. A goodwill solution or non-enforcement in one case does not create a waiver or precedent.

24. Entire Agreement

These Terms together with the policies expressly incorporated into the transaction and any applicable specifically negotiated written agreement constitute the contractual framework between the parties for the relevant subject matter and supersede prior inconsistent communications concerning that subject matter.

25. Governing Law and Jurisdiction

For professional/business transactions, Belgian law applies unless mandatory law or a specifically agreed written provision requires otherwise. Subject to mandatory jurisdiction rules, B2B disputes fall within the jurisdiction of the competent courts for the registered office of TWSM Europe BV. Mandatory consumer choice-of-law and jurisdiction protections remain unaffected.

26. Language and Prevailing Version

In the event of discrepancies or differences in interpretation between the English version of these Terms or the legal policies of TWSM Europe BV and a translation, the English version shall prevail to the extent permitted by applicable mandatory law. Mandatory language and consumer-protection requirements remain unaffected.

27. Changes and Version Applicable

TWSM Europe BV may update these Terms for future transactions. The version applicable to a purchase is the version made available in connection with that transaction. Updates do not retroactively reduce rights attached to earlier transactions.
